Ezy Fleet Terms and Conditions

Ezy Fleet (“Ezy Fleet”, “we”, “us”, or “our”) owns and operates a fleet of vehicles that it deploys, under the Ezy Fleet brand and livery, to business and individual clients (“Client”, “Lessee”, “you”) for use in the Client’s own operations, including logistics, last-mile delivery, corporate transport, and related commercial use. These Terms and Conditions (“Terms”) govern every vehicle lease and deployment arrangement between Ezy Fleet and a Client, whether entered into directly or through our website/application, and are incorporated into each Vehicle Deployment Order or lease agreement signed by the parties. By signing a Vehicle Deployment Order, accepting a quotation, or taking delivery of a vehicle, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
Where a Client is a company, partnership, or other legal entity (for example, an e-commerce, logistics, or delivery aggregator client), these Terms apply to that entity and to every individual who drives or supervises the deployed vehicles on the Client’s behalf, and the Client is responsible for ensuring such individuals comply with these Terms.
1. Definitions
- “Vehicle” means any vehicle owned by Ezy Fleet and deployed to a Client under a Vehicle Deployment Order, together with its registration documents, accessories, and any fitted telematics/GPS device.
- “Vehicle Deployment Order” or “VDO” means the order form, quotation, or lease schedule agreed between Ezy Fleet and the Client specifying the number and type of Vehicles, lease term, rental fee, and deployment site.
- “Deployment Site” means the location(s) at which the Client operates the Vehicles, as specified in the VDO.
- “Authorised Driver” means an individual employed or engaged by the Client, verified in accordance with Section 5, who is permitted to operate a Vehicle.
- “Lease Term” means the period specified in the VDO during which a Vehicle is deployed to the Client.
2. Eligibility and Onboarding
2.1 Business Clients
- Must be a validly incorporated entity and provide certificate of incorporation, GST registration, PAN, authorised signatory identification, and any other documentation Ezy Fleet may reasonably require to complete client onboarding and credit checks.
- Must designate an authorised point of contact responsible for fleet coordination, driver onboarding, and communications with Ezy Fleet.
2.2 Individual Clients
- Must be at least 18 years of age and provide valid government-issued identification, address proof, and, where the individual will personally drive a Vehicle, a valid driving licence appropriate to the Vehicle class.
Ezy Fleet reserves the right to decline any application, or to decline to enter into a VDO, at its sole discretion, including where onboarding documentation or credit checks are not satisfactorily completed.
3. Vehicle Deployment Order and Lease Term
- Each deployment of Vehicles is governed by a VDO specifying the Vehicle(s), Lease Term, deployment site, rental fee, security deposit, and any Client-specific terms.
- Ezy Fleet deployments are intended as long-term leases (typically monthly, quarterly, or annual terms, as agreed in the VDO) rather than short-term or daily rentals; where Ezy Fleet separately offers short-term self-drive rental services, those are governed by a distinct set of terms made available at the time of such booking.
- A VDO may be renewed by mutual written agreement prior to expiry of the Lease Term. Absent renewal, the Client must return all Vehicles to Ezy Fleet on or before expiry of the Lease Term in accordance with Section 14.
- Ezy Fleet will use reasonable efforts to allocate the Vehicle type/model requested in the VDO but may substitute a comparable Vehicle where necessary due to availability, maintenance, or safety requirements.
4. Branding and Livery
- All Vehicles are deployed bearing Ezy Fleet’s branding, livery, and registration markings. The Client shall not remove, obscure, alter, or add to the Ezy Fleet branding on any Vehicle without Ezy Fleet’s prior written consent.
- Where the Client wishes to apply its own branding, decals, or livery (for example, a co-branding arrangement with a logistics or delivery partner), this must be agreed in writing in the VDO and any such branding must be removed, at the Client’s cost, before the Vehicle is returned to Ezy Fleet.
- The Client shall ensure Vehicles are used in a manner consistent with Ezy Fleet’s brand reputation and shall not use the Vehicles for any purpose that is unlawful, unsafe, or damaging to Ezy Fleet’s goodwill.
5. Authorised Drivers
- Only Authorised Drivers verified by the Client and, where required, cleared through Ezy Fleet’s onboarding process, may operate a Vehicle. The Client is responsible for ensuring every Authorised Driver holds a valid driving licence appropriate to the Vehicle class and complies with applicable traffic and labour laws.
- The Client shall maintain, and provide to Ezy Fleet on request, an up-to-date list of Authorised Drivers assigned to each Vehicle.
- Permitting an unlicensed, unverified, or otherwise unauthorised individual to drive a Vehicle is a material breach of these Terms and may void insurance coverage; the Client shall be liable for all resulting loss, damage, fines, or claims.
6. Permitted Use of Vehicles
Vehicles are deployed solely for use in the Client’s business operations as specified in the VDO (for example, logistics, last-mile delivery, or corporate transport) and shall not be used to:
- Engage in any illegal activity or any purpose other than that specified in the VDO.
- Sub-lease, sub-hire, or transfer possession or use of a Vehicle to any third party without Ezy Fleet’s prior written consent.
- Tow another vehicle or trailer, carry hazardous or prohibited goods, or exceed the manufacturer’s rated load capacity, unless expressly permitted in writing.
- Operate outside the geographic area or Deployment Site specified in the VDO without Ezy Fleet’s prior written consent.
- Be driven by any person under the influence of alcohol, drugs, or any substance impairing safe driving.
7. Fees, Payment, and Security Deposit
- The Client shall pay the lease rental, on-boarding fees, and any other charges specified in the VDO, in accordance with the agreed billing cycle (typically monthly in advance), together with applicable GST and other statutory levies.
- A refundable security deposit per Vehicle, as specified in the VDO, shall be paid before deployment and will be refunded within a reasonable period after the Vehicle is returned in good condition, less any deductions permitted under these Terms.
- Late payment of any invoice may attract interest and/or suspension of the affected Vehicle(s) until outstanding amounts are cleared, without prejudice to Ezy Fleet’s other rights.
8. Maintenance, Servicing, and Roadworthiness
- Ezy Fleet is responsible for scheduled maintenance, statutory fitness certification, registration renewal, and comprehensive/third-party insurance of the Vehicles, unless otherwise agreed in the VDO.
- The Client is responsible for day-to-day upkeep (fuel, cleanliness, tyre pressure, fluid top-ups) and for promptly reporting any mechanical issue, warning light, or damage to Ezy Fleet.
- The Client shall make Vehicles available to Ezy Fleet for scheduled or emergency maintenance and inspection with reasonable notice, and shall not attempt unauthorised repairs or modifications.
9. Vehicle Inspection and Condition
A joint condition report will be prepared at the start of deployment and at the end of the Lease Term (or upon early return). The Client will be liable for the cost of repairing damage beyond ordinary wear and tear, subject to the applicable damage-liability cap in the VDO, except to the extent covered by insurance.
10. Telematics, GPS Tracking, and Odometer Data
Vehicles may be fitted with GPS or telematics devices that allow Ezy Fleet to monitor location, mileage, speed, fuel level, and vehicle health for fleet-management, safety, billing, and recovery purposes. The Client consents to such monitoring during the Lease Term and shall not disable, tamper with, or remove any such device. Data collected is handled in accordance with our Privacy Policy.
11. Insurance, Accidents, and Theft
- Ezy Fleet maintains third-party and own-damage insurance for each Vehicle as required under applicable motor vehicle insurance law; the extent of coverage and applicable excess/deductible will be specified in the VDO.
- The Client must immediately notify Ezy Fleet and, where applicable, the police, of any accident, theft, fire, or significant damage involving a Vehicle, and must cooperate fully with any resulting insurance claim or investigation.
- The Client is responsible for the insurance excess/deductible and for any loss not covered by insurance, including loss arising from a breach of these Terms or from negligent, unauthorised, or unsafe use of a Vehicle.
12. Traffic Violations, Fines, and Tolls
The Client is responsible for all traffic violations, e-challans, parking tickets, toll charges, and other fines or penalties incurred in relation to a Vehicle during the Lease Term, regardless of which Authorised Driver was operating the Vehicle at the relevant time. Ezy Fleet may invoice such amounts, together with a reasonable administrative fee, or deduct them from the security deposit.
13. Exclusivity and No Sub-Leasing
Vehicles remain the property of Ezy Fleet at all times. The Client obtains no ownership interest and may not sell, pledge, encumber, sub-lease, or otherwise deal with a Vehicle except as expressly permitted under these Terms and the applicable VDO.
14. Termination and Return of Vehicles
- Either party may terminate a VDO for convenience by giving the notice period specified in the VDO (or, if none is specified, 30 days’ written notice).
- Ezy Fleet may terminate a VDO and recover its Vehicles immediately, without notice, in the event of non-payment, fraud, unsafe or unlawful use of a Vehicle, or any other material breach of these Terms by the Client.
- On termination or expiry of the Lease Term, the Client shall return all Vehicles to the location specified by Ezy Fleet, in the condition required under Section 9, failing which the Client shall continue to be liable for rental charges until the Vehicle is returned and may be liable for costs of recovery.
15. Indemnification
The Client agrees to indemnify and hold harmless Ezy Fleet, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of the Client’s breach of these Terms, misuse of a Vehicle by the Client or any Authorised Driver, or violation of applicable law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Ezy Fleet’s aggregate liability arising out of or relating to a VDO shall not exceed the total lease fees paid by the Client under that VDO in the preceding three (3) months. Ezy Fleet shall not be liable for indirect, incidental, or consequential damages, including loss of business, loss of data, or loss of profits, arising from the deployment or use of the Vehicles.
17. Confidentiality
Each party shall keep confidential the commercial terms of the VDO and any non-public business information disclosed by the other party in connection with the relationship, and shall not disclose such information to third parties except as required by law or with the other party’s prior written consent.
18. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, strikes, government action, epidemics, fuel shortages, or other events of force majeure.
19. Governing Law and Dispute Resolution
These Terms and every VDO shall be governed by and construed in accordance with the laws of India. Subject to any dispute-resolution mechanism specified in the VDO, the courts of [City], India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.
20. Grievance Redressal
Any grievance regarding these Terms or the Services may be raised with our Grievance Officer as detailed in our Privacy Policy. We will endeavour to acknowledge and resolve grievances within the timelines prescribed under applicable law.
21. Amendments to These Terms
We may revise these Terms from time to time to reflect changes in our Services, business practices, or applicable law; material changes affecting an active VDO will be notified to the Client in writing and will take effect for that VDO only with the Client’s agreement or at renewal. The updated Terms will otherwise be posted with a revised “Last updated” date and apply to new VDOs entered into thereafter.
